Every engagement begins with a written scope. Work outside it is handled as a change request.

• Estimates are valid for 30 days
• Timelines assume timely client reviews and approvals
• Third-party licence and infrastructure costs are billed at cost unless stated

Unless agreed otherwise, work is invoiced by milestone or monthly and is due within 15 days.

We may pause work on overdue accounts after written notice.

Delivery depends on timely access to the people, content, systems and decisions required. Delays shift the timeline accordingly.

On full payment, custom project deliverables transfer to you.

We retain our pre-existing tools, frameworks, libraries and products, and license their use within the delivered solution.

Both parties keep non-public information confidential and use it only for the engagement. We are happy to sign an NDA before discussions.

We correct defects reported within the agreed warranty period. Enhancements and third-party changes require support or a new scope.

Where permitted by law, neither party is liable for indirect losses and our total liability is limited to fees paid for the affected engagement.

Either party may terminate with the notice in the agreement. Completed work remains payable and deliverables will be handed over in a usable state.

Unless agreed otherwise, the laws applicable to the contracting Codenzic entity govern these terms and disputes are handled there.
